Terms of Service

These Terms of Service ("Terms") govern your access to and use of CTE Tools (the "Service"), operated by the Center for Future Effectiveness ("we," "us," or "our"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

CTE Tools provides online access to streaming educational materials, which may include audiobooks, audio, video, and digital books. Access is provided on a subscription or access-code basis as described at the time of purchase. We may add, change, or remove content and features over time.

2. Your Account

You are responsible for keeping your login credentials confidential and for all activity under your account.
Accounts are for a single individual. To protect our content, the Service permits use on one device at a time; signing in elsewhere ends the previous session.
You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

3. Subscriptions, Billing, and Automatic Renewal

Automatic renewal. Paid subscriptions are billed on an annual basis. When you subscribe, your payment method is charged the stated price, and your subscription automatically renews once per year at the then-current price unless you cancel before the renewal date. We will charge your payment method on each renewal date until you cancel.

Cancellation. You may cancel at any time through "Manage Subscription" in your account, or by contacting us. Cancellation stops future renewals; you retain access through the end of the period you have already paid for.
Price changes. If we change subscription prices, we will provide notice, and the new price will apply to renewals after the notice period.
Refunds. Except where required by law, payments are non-refundable. If we issue a refund, we may revoke the related access.
Failed payments. If a renewal payment fails, we may provide a short grace period and then pause access until payment succeeds.

4. Access Codes and Passes

Some access may be granted through codes or limited-time passes. These are valid only for the stated period and the stated content, are not transferable or redeemable for cash, and may be subject to additional conditions provided at the time of issuance. Accounts created from a limited-time pass may be removed after the pass expires.

5. Acceptable Use

The content available through the Service is protected by copyright and other laws and is licensed to you for your own personal, non-commercial use only. You agree that you will not:

share your account or login with others;
download, copy, record, capture, redistribute, publicly perform, or resell the content;
circumvent, disable, or interfere with any security or access-control features of the Service;
use the Service unlawfully or in any way that infringes the rights of others.

We may suspend or terminate access for violations of these Terms.

6. Intellectual Property

All content, trademarks, and materials available through the Service are owned by us or our licensors and are protected by intellectual-property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and view the content for personal use while your subscription is active. No other rights are granted.

7. Age Requirement

The Service is intended for adults. You must be at least 18 years old to create an account or make a purchase. The Service is not directed to children under 13, and we do not knowingly collect information from them.

8. Disclaimers

The Service and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the twelve months before the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to comply with law. Provisions that by their nature should survive termination will survive.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in California.

13. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with any policies referenced here, are the entire agreement between you and us regarding the Service and supersede any prior agreements. You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
